Introduction

Welcome to UGCKit ("UGCKit," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the UGCKit website, application programming interfaces ("API"), and related software, tools, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (together, the "Agreement"). If you do not accept the Agreement, do not use the Service.

Eligibility & Account Registration

You must be at least 13 years old and able to form a binding contract (or have a parent/guardian do so on your behalf). You may create or access one account ("Account") only by authenticating with a valid Google™ account and are responsible for: (a) safeguarding your Google credentials and any tokens issued to UGCKit; (b) revoking access via your Google security settings if you suspect misuse; and (c) keeping Account information accurate. You may not sell, transfer, or share your Account without our prior written consent.

Description of Service

UGCKit provides cloud tools that allow users to upload and manage audio-visual assets, create and publish short-form videos to TikTok®, Instagram® Reels, and YouTube® Shorts via the respective platform APIs, and manage campaigns and analytics. We may add, modify, suspend, or discontinue any feature at any time.

Licenses & Intellectual-Property Rights

You retain ownership of the videos, images, audio, text, data, likenesses, voice references, or other materials you upload or create through the Service ("User Content"). You grant UGCKit a worldwide, non-exclusive, sublicensable license to host, reproduce, adapt, distribute, publicly perform, and display your User Content solely for: (i) providing and improving the Service; (ii) guardrails; and (iii) legal compliance. You represent that you have obtained all rights and consents necessary for any likeness, voice, or persona embodied in your User Content. UGCKit and its licensors own all rights in the Service and its software, templates, and branding.

Third-Party Integrations

Signing in constitutes acceptance of Google's Terms of Service and Privacy Policy; you may revoke access via your Google security page. When you connect social accounts, you authorize UGCKit to upload or manage videos on your behalf. Compliance with each platform's terms is your responsibility. Payments are processed by Stripe, Inc.; you agree to the Stripe Services Agreement.

Acceptable Use & Content Restrictions

You agree not to, and will not allow others to: (a) violate any law or third-party right; (b) generate, upload, or distribute infringing, defamatory, obscene, or deceptive content; (c) reverse-engineer or interfere with the Service; or (d) use the Service for dangerous or unlawful activities. UGCKit may remove content or suspend Accounts that violate these Terms or applicable law.

Notices of claimed copyright infringement should be sent to [email protected] with "DMCA Notice" in the subject line.

Privacy

Our data practices are described in the UGCKit Privacy Policy, incorporated herein by reference.

Termination

UGCKit may terminate or suspend the Service or your Account at any time if you breach these Terms or if required by law. Sections 3, 5, 6, 9-13, and any provision that by its nature should survive, will survive termination.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." UGCKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Modifications

We may revise these Terms or the Service at any time. Material changes will be announced via email or in-product notice at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGCKIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID UGCKIT IN THE SIX (6) MONTHS PRECEDING THE CLAIM. UGCKIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Indemnification

You will defend and indemnify UGCKit against all liabilities and costs arising from (a) your User Content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

Governing Law & Dispute Resolution

The Agreement is governed by Delaware law, excluding conflict-of-law principles. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. Disputes must be brought on an individual basis.

Export & Sanctions Compliance

You may not use the Service in violation of U.S. export-control or sanctions laws.

Miscellaneous

These Terms constitute the entire agreement between you and UGCKit. If any provision is unenforceable, the remainder will remain in effect. UGCKit may assign its rights; you may not assign without consent. Failure to enforce any provision is not a waiver.
